These Terms of Service (“Terms”) govern your use of the CodeNovAI website and engagement of our services. By contacting us for work, signing a proposal, or paying an invoice, you agree to these Terms and any project-specific statement of work.
If a signed proposal or contract conflicts with these Terms, the signed document controls for that project.
CodeNovAI provides website development, app development, monthly management, performance marketing, and related consulting. Scope, deliverables, timelines, and fees are defined in each proposal or retainer agreement.
Estimates are good-faith approximations. Material changes in scope may require revised timelines and fees.

Delays on your side may shift delivery dates without constituting a breach by us.
Fees are as stated in the proposal. Unless otherwise agreed, projects typically require an upfront deposit before work begins, with the balance due on agreed milestones or before final handover.
Late payments may pause work. Taxes (including GST where applicable) are additional unless marked inclusive.
Upon full payment, you receive ownership of custom deliverables created specifically for you under the project, excluding our pre-existing tools, frameworks, libraries, and generic components.
We may showcase completed work in our portfolio and marketing unless you request confidentiality in writing before project start.
Hosting, domains, app stores, Meta, Google Ads, analytics, and similar platforms are governed by their own terms. We are not responsible for outages, policy changes, account suspensions, or fee changes by those providers.
We deliver professional services with reasonable skill and care. Except as required by law, services are provided without other warranties.
To the maximum extent permitted by law, CodeNovAI is not liable for indirect, incidental, or consequential damages, lost profits, or lost data. Our total liability for a project is limited to fees paid for that project in the three months preceding the claim.
Either party may end an engagement as described in the proposal. Work completed and non-refundable third-party costs remain payable. Deposits are handled per our Refund & Cancellation Policy.
These Terms are governed by the laws of India. Courts in Lucknow, Uttar Pradesh shall have exclusive jurisdiction, subject to applicable law.
